1. The agreement
These Terms are a contract between you and Figures Solutions LLC, doing business as The Exchange (“we,” “us,” “our”), based in Detroit, Michigan. They cover the website at www.theexchangeapp.church, the mobile app called “The Exchange” on the App Store and Google Play, and everything they let you do (together, the “Service”). By requesting access, creating an account, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Service.
2. Who may use The Exchange
You must be at least 18 years old, or the age of majority where you live if that is higher, and legally able to agree to a contract.
If you use the Service for a church, ministry, nonprofit, business or other organization, you confirm that you have the authority to act for it and to accept these Terms on its behalf. When we say “you” in these Terms, we mean both you personally and that organization.
Accounts are created by invitation. You apply at Request access, we review the application, and we may decline it for any reason. Everything you tell us in the application must be accurate.
3. Your account and keeping it safe
- Every account must use a second sign-in step. You choose which one (text message, authenticator app, or email code) and you are responsible for keeping that device or inbox secure.
- Keep your password and sign-in methods to yourself. Do not share your account or let someone else use it as you.
- Everything done while signed in to your account is your responsibility, unless it happened because of a mistake on our side.
- If you think someone else has used your account, tell us right away at support@theexchangeapp.church.
- Keep your name, email and organization details accurate and up to date.
4. What organizations are responsible for
Organizations use The Exchange to keep records about their own people: contacts, households, giving, pastoral notes, prayer requests, prophetic words, benevolence decisions, messages and form submissions. If you run an organization on The Exchange:
- You decide what to collect about your people, and you are responsible for having a proper legal reason, and any permission you need, to keep it, including a parent’s or guardian’s permission for records about children.
- You will use that information for your organization’s ministry and operations, and for nothing that would surprise the people it is about.
- You will only give staff access that matches their role, and you will remove people from your team when they leave.
- You are responsible for the content you publish through The Exchange: your organization page, website, posts, broadcasts, events, products and messages.
- If you send text messages or emails to your contacts through the Service, you are responsible for having their permission and for honoring requests to stop.
- If you connect an outside service (Google, Microsoft, YouTube, an automation destination), you are responsible for what you send there and for that service’s terms.
- Verification badges show that we have reviewed an organization; they are not a guarantee of anything beyond that review.
We handle organization records only on the organization’s behalf, as its service provider. We do not use them for our own purposes beyond running, securing and improving the Service.
5. Giving and payments
Stripe handles the money. Every card payment on The Exchange goes through Stripe, and organizations that receive gifts set up a Stripe Connect account. Your card details go to Stripe directly and never touch our servers. By giving or paying, you agree to Stripe’s terms as well as these. Organizations also agree to the Stripe Connected Account Agreement when they set up payouts.
- Fees. The Service and payment processing may carry fees. Any fee that applies is shown in the product at the point where it applies, before you commit. Stripe also charges its own processing fee on each payment.
- Gifts are gifts. A donation is made to the organization you chose, not to us. Refunds are decided by that organization, within whatever the law requires; we can help you reach them. If you believe a charge was made in error or without your permission, email us and contact the organization.
- Recurring gifts. When you set one up you give us and Stripe permission to charge your card or bank account on the schedule you chose until you cancel. You can cancel from your account at any time; charges already made are not affected.
- Receipts and tax. We send a receipt for each gift and organizations can produce giving statements. Whether a gift is tax-deductible depends on the organization’s status and your situation. We are not a tax advisor.
- Payouts. Funds are paid to the organization by Stripe under Stripe’s schedule and rules. Stripe may ask an organization for identity and business information and may hold or reverse funds under its own terms; we do not control that.
- Subscriptions. If you buy a plan for your organization, on the web through Stripe or on a phone through the App Store or Google Play, it renews until you cancel through the same place you bought it. Store purchases follow Apple’s or Google’s refund rules.
6. Benevolence requests
A member may ask an organization for help through a benevolence request. The organization reviews the request, may ask for more information, and decides whether and how much to give. It may escalate the request to other organizations for help. Nothing about the Service guarantees that a request will be funded, and we are not a party to that decision. Everything you put in a request must be true. Any payout is made by the organization through Stripe.
7. Businesses, the store and ventures
Member businesses can list products and take orders, and members can back ventures. Each sale is a contract between the buyer and the seller; The Exchange is the marketplace, not the seller. The seller is responsible for describing products truthfully, shipping them, collecting and paying over any sales tax that applies, and handling returns and refunds under its own stated policy. Payments run through Stripe as in section 5. Venture contributions are made to the venture owner, and the owner is responsible for delivering what was promised. We may remove listings that break these Terms.
8. Ads and boosts
Organizations and businesses can pay to boost content or run ads inside The Exchange. Ads are shown to members based only on information from inside the platform, as the Privacy Policy explains, and every ad goes through screening. If you advertise, you prepay or maintain a balance through Stripe, you set your own spending caps, your ads must follow section 10, and you are responsible for what they say. We may pause or reject any ad. Reach and result numbers are estimates, not guarantees.
9. Your content
You own what you create on The Exchange: posts, comments, stories, notes, messages, broadcasts, recordings, images, organization pages, and the records your organization keeps (“Your Content”).
So that we can run the Service, you give us a worldwide, non-exclusive, royalty-free license (meaning you still own it, you can use it anywhere else, and we do not pay you for it) to store, copy, transmit, display, convert to other formats, transcribe, screen and back up Your Content, and to show it to the people you share it with, in the feeds and recommendations the Service provides. The license lasts while the content is on the Service and for a short time afterward for backups and for content others have already received (for example a message you sent). It does not let us sell Your Content or use it in our own advertising without asking you.
You confirm that you have the right to post what you post, that it does not step on anyone else’s rights, such as copyright, and that you have permission from anyone who appears in it.
Content marked public — profile photos, posts, stories, organization pages and broadcast recordings — can be seen by anyone with the link, including people who are not members.
10. What you may not do
- Break the law, or help anyone else break it.
- Misuse giving or payments: launder money, use a card that is not yours, dispute a legitimate charge, or make gifts you know are fraudulent.
- Ask for benevolence, contributions or gifts under false pretenses.
- Harass, threaten, bully, defame or discriminate against people. Post sexual content, content that exploits children, or content that promotes violence.
- Pretend to be someone else, or misrepresent an organization or its status.
- Send spam, unsolicited texts or emails, or messages to people who asked you to stop.
- Upload malware, probe or attack our systems, copy information out of the Service in bulk with software, or get around our security, limits or screening.
- Use another person’s information from the Service for anything other than the purpose they shared it for.
- Record a broadcast, room or call and share it in a way the participants would not expect.
We use automated screening on posts, stories, messages, ads and broadcasts, and people review flags and reports. We may remove content, limit features, or suspend accounts that break these rules.
11. Live broadcasts, rooms, calls and recordings
When you go live, join an audio room, or take a call in the Service, your voice and image are transmitted through our media servers and our providers, and can be seen or heard by everyone in that broadcast, room or call.
- Broadcasts and audio rooms on our own media servers are captured as they happen and may be kept for replay by the organization that ran them. By speaking in a broadcast or room you agree to that.
- The host may also turn on transcription; the room shows a “Transcribing” badge when it is on, and the transcript is saved as a note for the organization.
- Hosts and organizations are responsible for telling participants that the room is captured and, when it is on, transcribed, and for how they use the recording afterward.
12. Connecting your own AI
You may connect an AI assistant you already use, such as Claude or ChatGPT, to your account from Connect to AI. By approving a connection, you authorize that AI to act as you, inside the one organization you selected when you connected, with the permissions your role already has there. To use it in another organization you belong to, you connect it there too. That means:
- Anything the AI reads or writes through the connection counts as done by you, including to-dos, tasks handed to team members, messages sent to your team, notes, budget changes, giving records, people’s records, imported member lists, invitations sent, events, and surveys.
- You are responsible for what you ask it to do and for the AI company’s handling of what it reads, under your own account with that company.
- If your role lets you see other people’s information (donors, contacts, attendees, survey answers), so can the AI you connect. Treat that with the same care you would yourself.
- You may disconnect at any time from Connect to AI, and the connection stops working immediately. We may revoke a connection if it is being misused.
- The Exchange has no built-in AI of its own, and we are not responsible for the accuracy or behavior of the AI you connect.
13. Other companies’ services
The Service relies on other companies, named in our Privacy Policy, including Stripe for payments, Supabase for data, Google and Microsoft for sign-in and calendars, Twilio for texts, and Apple and Google for app-store purchases. When you use one of those through The Exchange, its terms also apply to you. We do not control those companies and are not responsible for their services, and an integration may change or go away.
14. Suspension, termination and leaving
You can leave at any time. On the web, go to Dashboard → Settings → Security & Data and choose “Delete account.” In the mobile app, the same row opens an email to support@theexchange.app, and our support team completes the deletion. Gifts you already gave, orders you placed, and direct messages you sent stay with the organization or person who received them, as the Privacy Policy explains.
We may suspend or end your access, or an organization’s, if you break these Terms, if the law requires it, if a payment provider requires it, or to protect other people or the Service. We will tell you why unless the law or safety prevents it.
Sections 5 through 9, 12, and 15 through 18 continue to apply after your account ends, for anything that happened while it was open.
15. No warranties
We work hard on The Exchange, but we provide it as is and as available. We do not promise it will always be up, error-free or secure, that gifts will reach any particular goal, that a benevolence request will be funded, that an ad will perform, or that content posted by other people or organizations is accurate. As far as the law allows, we make no promises about the Service beyond what these Terms say. In legal terms, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.
16. Limits on our liability
We are not responsible for knock-on losses from using the Service, such as lost profits, lost data or lost reputation. In legal terms, to the extent the law allows, The Exchange and the people who run it are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost data or lost goodwill, arising from the Service, even if we were told it could happen. Our total liability to you for any claim about the Service is limited to the greater of the fees you paid us in the twelve months before the claim or one hundred US dollars ($100).
Some states do not allow some of these limits, so some may not apply to you. Nothing here limits liability that cannot be limited by law.
17. Governing law and disputes
These Terms are governed by the laws of the State of Michigan and the federal laws of the United States, without regard to conflict-of-law rules (even if another state’s rules might otherwise apply). Any dispute about these Terms or the Service will be brought in the state or federal courts located in Wayne County, Michigan, and you agree that those courts can hear the case, unless the law where you live gives you the right to bring it elsewhere. Before filing, please write to us; most problems can be sorted out by email.
18. Changes to these Terms
We may update these Terms. When we do, we change the date at the top. If a change meaningfully affects your rights, we will tell you by email or in the Service before it takes effect. Using the Service after that date means you accept the updated Terms.
